1. Acceptance
By creating a ShelfReserve account, redeeming a license code, or otherwise using ShelfReserve, you agree to these Terms of Service and to our Privacy Notice and DMCA Policy. If you do not agree, do not use ShelfReserve.
You must be at least 18 years old to use ShelfReserve. By using it, you represent that you are.
You may accept these Terms on behalf of a business only if you have authority to bind that business.
2. What ShelfReserve is
ShelfReserve is a tool that helps venues and small operators produce short video reels from their own footage. You supply video clips (uploaded directly or by referencing a social-media post you own or have permission to use), pick style parameters, and ShelfReserve produces a finished reel for you to download.
We may add, modify, or remove features. We will give you reasonable notice before removing a feature you actively rely on.
3. Your account
You are responsible for keeping your license code and account credentials confidential. Anything done under your account is your responsibility.
One person or business per account. Do not share your account or license code.
You may delete your account at any time. See our Privacy Notice §6.
4. Your content — critical, please read carefully
“Your Content” means everything you upload to ShelfReserve or reference via a social-media URL, including video clips, images, audio, and text.
4.1 You represent and warrant
By uploading Your Content or providing a reference URL, you represent and warrant that:
- You own it or have permission to use every piece of Your Content — including videos, images, audio, and any music contained inside them — for the purpose of producing and delivering a reel through ShelfReserve.
- You have the right to grant us the license in §4.3 for the purpose of running the service.
- Your Content does not infringe the copyright, trademark, publicity, privacy, or other rights of anyone.
- Your Content complies with our Acceptable Use rules in §6.
- If Your Content contains identifiable people, you have any required consent from those people to use their likeness in a reel.
4.2 Reference-URL feature — specific representation
The reference-URL feature accepts links to Instagram, TikTok, and similar public posts. Some of those platforms’ own terms restrict programmatic use of their content, and the underlying videos and music are usually owned by the person who posted them and by third-party rights holders.
When you provide a reference URL, you specifically represent and warrant that:
- Either you posted the referenced video yourself and own all elements of it (the video, any music inside it, any people shown), OR
- You have obtained explicit permission from the person who posted it and from every rights holder of every element inside it (including the song), to use that content for producing and delivering a reel through ShelfReserve.
We do not verify these representations. You are solely responsible for their accuracy. If you cannot honestly make these representations for a specific URL, do not use the reference-URL feature for it — upload your own footage instead.
If a rights holder contacts us claiming that Your Content or a Reference URL infringes their rights, we will remove the content and handle the claim under our DMCA Policy. Repeat infringement will result in termination of your account under §11.
4.3 License to us
Solely to provide ShelfReserve to you, you grant us a limited, non-exclusive, royalty-free license to store, process, transform, and transmit Your Content. This license lasts only as long as we need it to deliver the service and to keep the finished reels available in your account, and ends when you or we delete the content or terminate the account.
We do not use Your Content to train AI models. We do not sublicense Your Content to third parties for their own purposes. We do not use Your Content in our marketing materials without your separate written permission.
5. Licensed music (Epidemic Sound)
ShelfReserve optionally includes background music licensed to us through Epidemic Sound. If you enable music on a reel from that library, the resulting reel is covered by our Epidemic Sound commercial license for delivery to you and use in your reels.
If you enable the reference-URL feature and it extracts audio from your referenced post, the responsibility for the rights to that audio is yours under §4.
6. Acceptable use
You may not use ShelfReserve to:
- Upload or reference content you do not have the right to use.
- Produce content that is sexually explicit, that depicts real violence, that harasses or defames a specific person, or that violates any applicable law.
- Produce content involving minors in any sexualized manner. Zero tolerance; violations will be reported to law enforcement.
- Impersonate another person or business.
- Attempt to bypass rate limits, quotas, license-code enforcement, or authentication.
- Attempt to scrape, mirror, or reverse-engineer the service, except where such restriction is prohibited by law.
- Interfere with or degrade the service for other users (denial-of-service, spam uploads, license-code brute-force).
- Sell, transfer, or sublicense your license code.
We may suspend or terminate your account for any violation of this section.
7. Rate limits and quotas
ShelfReserve enforces daily render quotas and rate limits to keep the service available for all users. Details are shown inside the app. Attempting to circumvent these is a violation of §6 and grounds for account termination.
8. Fees
At this time, ShelfReserve access is granted through pre-issued license codes. When we introduce paid plans, additional payment terms will be added to these Terms and you will be notified before those terms apply to you.
9. Disclaimers
ShelfReserve is provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that ShelfReserve will be uninterrupted, error-free, or free of harmful components, or that any specific reel will render successfully.
Your reels depend on third-party services (Cloudflare, AWS, Remotion, Anthropic, Twelve Labs, Epidemic Sound). Their outages affect ShelfReserve; we do our best to route around them but cannot guarantee any specific uptime.
10. Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim arising out of ShelfReserve is limited to the amount you paid us in the 12 months before the claim, or US$100 if you have not paid us anything, whichever is greater.
We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, data, or goodwill, even if we have been advised of the possibility.
Some jurisdictions do not allow these limitations. In those places, our liability is limited to the maximum extent permitted by that jurisdiction’s law.
11. Termination
You may stop using ShelfReserve and delete your account at any time.
We may suspend or terminate your account:
- For violation of these Terms (including §6 Acceptable Use or §4 upload warranties).
- For repeated DMCA complaints.
- If required by law.
- If we discontinue ShelfReserve (with reasonable notice to existing users).
Termination does not entitle you to a refund of any pre-paid amounts unless required by applicable law.
12. DMCA
We comply with the Digital Millennium Copyright Act. To file a takedown or counter-notice, see our DMCA Policy.
13. Governing law
These Terms are governed by the laws of [FILL IN — Devin’s state of residence / state of BLP formation, most likely the same], without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in [FILL IN — same state].
14. Changes
We may update these Terms from time to time. For material changes we will notify existing users by email at least 14 days before they take effect. Your continued use after the effective date means you accept the updated Terms.
